Contracts and subcontracts

Read it before it hardens

A contract is the cheapest steel on a job and the hardest to add later. We review and draft prime contracts, subcontracts and purchase terms for contractors, subcontractors and owners.

Most of the disputes we see were visible in the paper on day one: a pay-when-paid clause nobody read, a seven-day notice window, a change order that lived in a text thread. We read the contract the way your project manager and your lender will, mark what can hurt, and propose language you can send back.

We start from your own form where you have one, and write from scratch where you don't.

What we review and draft

  • Prime contracts and subcontracts

  • Pay-if-paid and pay-when-paid clauses

  • Change orders and written directives

  • Indemnity, insurance and waiver language

  • Schedules, delay and liquidated damages

  • Owner-contractor agreements, residential and commercial

Clauses that carry weight

Six clauses that carry the load

Every contract has dozens of paragraphs. These are the ones we read twice.

  • When you get paid

Whether payment waits on the owner, on a milestone or on a release you haven't signed.

  • Notice windows

The days you have to report a delay, a claim or a change, and what happens if you miss them.

  • Change orders

How extra work gets approved in writing before it is built, not after.

  • Who pays if it goes wrong

Who covers whose mistakes, and the limits your policy has to meet.

  • Delay and damages

What a late finish costs, and what counts as a delay you did not cause.

  • Termination and cure

How either side can end the deal, and the chance you get to fix a problem first.

Send the draft you were handed.

Send the contract, the subcontract or the purchase order. We'll tell you what to change before you sign.
